Azalea Networks Signs Definitive Agreement To Be Acquired By Aruba Networks

5/11/2010

Will Create Wireless Networking Industry Powerhouse to Deliver Seamless End-to-End Mobility Solutions Spanning the Entire Enterprise with Global Reach

Milpitas, California – May 10, 2010 – Azalea Networks, a leader in the outdoor mesh networks for video surveillance and industrial enterprise, is pleased to announce that it has signed a definitive agreement to be purchased by Aruba Networks, one of the world's largest manufacturers of enterprise wireless LANs.   The terms of transaction have been approved by Aruba and Azalea boards of directors.

Headquartered in California’s Silicon Valley, Aruba’s is one of the world’s two largest suppliers of enterprise wireless LANs.  They have a long record of sales growth, expanding their market share in a highly competitive industry, and expanding their user base which now exceeds 10,000 customers.  The acquisition will enable Aruba to deliver seamless end-to-end mobility solutions spanning the entire enterprise – from indoor carpeted spaces to the most remote outdoor industrial applications.

“Aruba was attracted to Azalea because its best-in-class mesh technology complements Aruba’s Wi-Fi solutions for the carpeted and uncarpeted enterprise. Aruba also highly values Azalea’s seasoned team with its deep technical, sales, and marketing experience, and intends to both retain and expand our North American and International operations including the Beijing operations center,”  said  Dominic Orr, Aruba’s President and CEO.

“Azalea’s extensive wireless mesh product line and innovative technology together with Aruba’s breadth and scale in distributed enterprise Wi-Fi networking solution will expand the worldwide footprint of Azalea's mesh solutions as a result of Aruba's financial, sales, engineering, and support resources ,” said Felix Zhao, Azalea’s Co-CEO managing the North America and International Operations.  “This acquisition will be a win-win situation for both our valued customers and for Azalea Networks.”

Azalea’s mesh technology can carry latency-sensitive voice and video over long distances, and in harsh environments, without compromising performance, fidelity, or security.  Video surveillance is one of the primary applications for Azalea’s mesh technology, and large campuses, sports facilities, power generation plants, container and logistics yards, and defense installations are all excellent prospects for such surveillance systems.  Azalea’s mesh technology has also been demonstrated to reliably deliver video streams in vehicles traveling up to 100kph (60 miles per hour), making it suitable for mass transit monitoring and first responder applications.

The acquisition is expected to close within approximately 90 days.   Until the acquisition closes at the end of this summer, Aruba and Azalea will operate as independent entities. Prior to completion of the acquisition, Azalea will continue with business as usual, and all products and support will be provided by Azalea.   After the acquisition has been completed, all of our customers will become Aruba customers, and Aruba’s award-winning Customer Advocacy team will take responsibility for customer support.
